Subscription & Service Agreement

This Subscription & Service Agreement ("Agreement") is entered into between EventNook Pte. Ltd. ("EventNook," "we," "us," or "our") and you, the customer ("Customer," "you," or "your"), governing your use of EventNook's cloud-based event management and registration platform (the "Platform") and related services (collectively, the "Services").
1. Subscription Plans and Services
1.1 Service Description
EventNook provides a comprehensive event management platform that includes but is not limited to:
- Event registration and ticketing systems
- Attendee data management and analytics
- Payment processing integration
- Check-in and badge printing systems
- Mobile applications and APIs
- Email communication tools
- Reporting and analytics features
1.2 Subscription Plans and Custom Solutions
EventNook provides flexible subscription options and custom solutions tailored to meet the specific needs of each organization. Our service offerings are designed to accommodate events of all scales, from small corporate gatherings to large-scale international conferences and exhibitions.
Enterprise and Custom Pricing: EventNook operates on a consultation-based pricing model. Each subscription is customized based on your organization's specific requirements, event complexity, anticipated attendee volume, feature needs, and integration requirements. Our team works directly with you to design a solution and pricing structure that aligns with your operational and budgetary requirements.
Subscription solutions typically include:
- Standard Solutions: Core event management features suitable for routine corporate events, meetings, and conferences
- Professional Solutions: Advanced capabilities including custom branding, enhanced analytics, multi-event management, and integration with existing enterprise systems
- Enterprise Solutions: Comprehensive platform access with dedicated account management, priority support, custom development, API access, single sign-on (SSO), advanced security features, and service level agreements (SLAs)
- Bespoke Solutions: Fully customized implementations designed for unique organizational requirements, including white-label solutions, custom integrations, specialized workflows, and regulatory compliance needs

1.3 Enterprise Integration Capabilities
EventNook provides comprehensive integration capabilities for Professional and Enterprise customers to connect the Platform with existing enterprise systems and third-party applications. Integration options include secure APIs for programmatic access, real-time event notifications, single sign-on (SSO) for authentication, payment gateway integration, and custom integration development based on specific organizational requirements.
Technical documentation, sandbox environments, and developer support are available to facilitate integration projects. Specific integration capabilities and usage policies are defined in your subscription agreement.
1.4 Service Modifications and Updates
EventNook reserves the right to modify, enhance, or discontinue any aspect of the Services at any time. We continuously improve the Platform by releasing updates, new features, and security enhancements. Material changes that may adversely affect your use of the Services will be communicated with reasonable advance notice. For enterprise customers, we maintain backward compatibility for API integrations and provide migration support for breaking changes when necessary.
2. Subscription Terms and Billing
2.1 Subscription Period
Subscriptions are offered on monthly or annual billing cycles, as selected by you during the registration process. Your subscription will automatically renew at the end of each billing period unless cancelled in accordance with Section 7 of this Agreement.
2.2 Fees and Payment
You agree to pay all fees associated with your selected subscription plan. Fees are charged in advance for each billing period and are non-refundable except as expressly provided in this Agreement. All fees are exclusive of applicable taxes, which will be added to your invoice where required by law.
Payment methods accepted include:
- Credit and debit cards (Visa, Mastercard, American Express)
- Bank transfers (for Enterprise plans)
- Other payment methods as specified by EventNook
2.3 Price Changes
EventNook may modify subscription fees at any time. Price changes will take effect at the start of your next billing period following notice of the change. We will provide at least 30 days' advance notice of any price increases.
2.4 Overages and Additional Charges
If your usage exceeds the limits of your subscription plan (e.g., number of attendees, events, or transactions), additional fees may apply. You will be notified of any overages and associated charges.
2.5 Failed Payments
If a payment fails or is declined, EventNook may suspend or terminate your access to the Services until payment is received. You remain responsible for all outstanding fees, including any collection costs or late payment charges.
3. Account Registration and Security
3.1 Account Creation
To use the Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to:
- Keep your password secure and confidential
- Notify EventNook immediately of any unauthorized use of your account
- Not share your account credentials with any third party
- Accept responsibility for all activities conducted through your account
3.3 Account Verification
EventNook reserves the right to verify your identity and account information at any time. Failure to provide requested verification may result in suspension or termination of your account.
4. Data and Privacy
4.1 Data Ownership
You retain all rights, title, and interest in your event data, attendee information, and content uploaded to the Platform ("Customer Data"). EventNook does not claim ownership of Customer Data. You have the right to access, export, modify, and delete your Customer Data at any time through the Platform or by contacting our support team.
4.2 Data Processing and Controller-Processor Relationship
EventNook acts as a Data Processor on your behalf with respect to Customer Data, and you act as the Data Controller. You are responsible for ensuring that your collection and processing of attendee data complies with all applicable privacy laws, including but not limited to:
- Singapore Personal Data Protection Act (PDPA)
- General Data Protection Regulation (GDPR) for EU residents
- California Consumer Privacy Act (CCPA) where applicable
- Other relevant data protection regulations in your jurisdiction
EventNook will process Customer Data only in accordance with your documented instructions, this Agreement, and applicable law. A separate Data Processing Agreement (DPA) is available upon request for enterprise customers requiring detailed data processing terms.
4.3 Privacy and Security Measures
EventNook maintains comprehensive security measures to protect Customer Data, including:
- ISO 27001:2022 Certification: EventNook achieved ISO/IEC 27001:2022 certification, demonstrating our commitment to information security management best practices
- Data Encryption: All data is encrypted in transit using TLS 1.2+ and at rest using AES-256 encryption
- Access Controls: Role-based access controls (RBAC) and multi-factor authentication (MFA) capabilities
- Data Residency: All customer data is hosted in Singapore-based Microsoft Azure data centers, ensuring compliance with data residency requirements
- Regular Audits: Continuous security monitoring, vulnerability assessments, and compliance audits
- Incident Response: 24/7 monitoring with established incident response procedures

4.4 Data Backup and Recovery
EventNook performs automated daily backups of Customer Data with redundancy across multiple geographic locations within the Singapore region. Backup retention policies maintain recoverable data for a minimum of 30 days. While we maintain robust backup procedures, you are responsible for maintaining your own backup copies of critical data. EventNook will make commercially reasonable efforts to restore data in the event of system failure, with specific recovery time objectives (RTO) and recovery point objectives (RPO) defined in enterprise service level agreements.
4.5 Data Portability and Export
You may export your Customer Data at any time through the Platform's data export functionality. EventNook supports standard data formats including CSV, Excel, and JSON to facilitate data portability. Upon termination of services, EventNook will provide a grace period for data export as specified in Section 7.5.
4.6 Data Retention and Deletion
Customer Data will be retained for the duration of your subscription and for 30 days following termination to allow for data export. After this retention period, Customer Data will be securely deleted from our production systems and backups, unless longer retention is required by applicable law or regulatory requirements. You may request early deletion of specific data in accordance with data subject rights under applicable privacy laws.
4.7 Subprocessors and Third-Party Service Providers
EventNook may engage subprocessors and third-party service providers to assist in delivering the Services. All subprocessors are bound by data protection obligations consistent with this Agreement. A current list of subprocessors is available upon request, and we will provide notice of any material changes to our subprocessors.
4.8 Third-Party Infrastructure and Service Dependencies
EventNook utilizes enterprise-grade cloud infrastructure and services provided by third-party vendors, including but not limited to Microsoft Azure, to deliver the Services. While we select providers with proven reliability and uptime track records, EventNook's service availability may be affected by the performance, outages, or disruptions of these third-party infrastructure providers.
EventNook is not responsible for service interruptions, data loss, or other issues resulting from failures or disruptions in third-party infrastructure, cloud services, or subprocessor systems beyond our reasonable control. We maintain service monitoring and incident response procedures to minimize the impact of any third-party service disruptions and will make commercially reasonable efforts to restore Services as quickly as possible. For enterprise customers, specific service level commitments and remediation procedures for third-party-related outages are defined in individual service level agreements.
5. Acceptable Use
5.1 Permitted Use
You may use the Services only for lawful purposes and in accordance with this Agreement. You agree to use the Services solely for organizing and managing legitimate events and related activities.
5.2 Prohibited Activities
You may not use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit or distribute spam, malware, viruses, or harmful code
- Engage in fraudulent, deceptive, or misleading practices
- Infringe upon intellectual property rights of EventNook or third parties
- Interfere with or disrupt the Services or servers/networks connected to the Services
- Attempt to gain unauthorized access to any portion of the Services or related systems
- Use the Services to organize illegal activities or events
- Resell or redistribute the Services without EventNook's written consent
- Reverse engineer, decompile, or disassemble any aspect of the Services
5.3 Content Standards
All content you create, upload, or distribute through the Services must comply with our Code of Conduct and must not contain:
- Hate speech, harassment, or discriminatory content
- Explicit or adult content (unless specifically authorized)
- False or misleading information
- Content that infringes on intellectual property rights
6. Intellectual Property
6.1 EventNook Property
The Services, including all software, designs, graphics, text, and other materials, are owned by EventNook and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with this Agreement.
6.2 Customer Content License
By uploading content to the Platform, you grant EventNook a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services to you.
6.3 Trademarks
"EventNook" and related logos are trademarks of EventNook Pte. Ltd. You may not use these trademarks without our prior written consent.
7. Term and Termination
7.1 Term
This Agreement begins on the date you first access the Services and continues until terminated in accordance with this Section.
7.2 Cancellation by Customer
You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.
7.3 Termination by EventNook
EventNook may suspend or terminate your account and access to the Services immediately if:
- You breach any provision of this Agreement
- Your payment fails or account becomes delinquent
- We reasonably believe your use of the Services poses a security or legal risk
- You engage in prohibited activities as outlined in Section 5
7.4 Effect of Termination
Upon termination:
- Your access to the Services will be immediately discontinued
- You will remain responsible for any outstanding fees
- EventNook will retain Customer Data for 30 days to allow for data export
- After 30 days, Customer Data may be permanently deleted unless otherwise required by law
7.5 Data Export
Prior to termination, you may export your Customer Data through the Platform's export functionality. EventNook is not responsible for data that is not exported before the end of the retention period.
8. Support and Service Levels
8.1 Customer Support
EventNook provides comprehensive customer support through multiple channels, with service levels tailored to your subscription plan:
- Email Support: Available to all customers with response times based on subscription tier
- Live Chat Support: Available during business hours (Singapore Time: Monday-Friday, 9:00 AM - 6:00 PM) for Professional and Enterprise customers
- Phone Support: Priority phone support available for Enterprise customers
- Dedicated Account Manager: Enterprise customers receive a dedicated account manager for strategic support and consultation
- Technical Support: Direct access to technical support specialists for integration, API, and advanced feature implementation
- 24/7 Emergency Support: Critical issue support available for Enterprise customers during major events

8.2 Support Response Times
Response times are measured from the time a support request is received during business hours:
- Critical Issues (P1): Platform unavailable or critical functionality impaired - Enterprise: 1 hour response, Professional: 4 hours, Standard: 8 hours
- High Priority (P2): Major feature impairment affecting event operations - Enterprise: 4 hours, Professional: 8 hours, Standard: 24 hours
- Medium Priority (P3): Minor feature issues with workarounds available - Enterprise: 8 hours, Professional: 24 hours, Standard: 48 hours
- Low Priority (P4): General questions, feature requests, minor issues - Enterprise: 24 hours, Professional: 48 hours, Standard: 72 hours
8.3 Service Availability and Uptime
EventNook is committed to maintaining high availability of the Services:
- Target Uptime: 99.9% uptime for all subscription tiers, measured monthly
- Scheduled Maintenance: Conducted during low-usage periods (typically Singapore Time: Sunday 2:00 AM - 6:00 AM) with at least 48 hours advance notice
- Emergency Maintenance: Performed when necessary to address critical security or stability issues, with notification provided as soon as practicable
- Status Updates: Real-time service status and incident updates available through our status page
8.4 Service Level Agreement (SLA) for Enterprise Customers
Enterprise customers are eligible for formal Service Level Agreements that include:
- Uptime Commitment: 99.9% monthly uptime guarantee with service credits for non-compliance
- Response Time Guarantees: Contractually committed response times for each priority level
- Resolution Targets: Target resolution times for critical and high-priority issues
- Escalation Procedures: Defined escalation paths for unresolved issues
- Performance Monitoring: Regular performance reviews and optimization recommendations
- Service Credits: Compensatory credits applied for SLA breaches as defined in the enterprise agreement
Specific SLA terms are detailed in individual enterprise subscription agreements and may be customized based on organizational requirements.
8.5 Professional Services
EventNook offers professional services for enterprise customers, including:
- Custom integration development and API implementation
- Data migration assistance from existing systems
- Custom workflow design and configuration
- On-site support for large-scale events
- Training and onboarding programs for your team
- White-label and custom branding implementation
- Compliance consulting and documentation support
Professional services are quoted separately and may be included in enterprise subscription packages.
9. Warranties and Disclaimers
9.1 Service Warranty
EventNook warrants that the Services will perform substantially in accordance with our published documentation. This warranty does not cover issues caused by misuse, modifications, or use in combination with unauthorized third-party products.
9.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
10.1 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTNOOK'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO EVENTNOOK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10.2 Exclusion of Damages
IN NO EVENT SHALL EVENTNOOK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless EventNook, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of this Agreement
- Your violation of any rights of third parties
- Customer Data or content you provide
12. Compliance and Legal Requirements
12.1 Regulatory Compliance
You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards relevant to your business and events.
12.2 Export Control
The Services may be subject to export control laws and regulations. You agree to comply with all applicable export and import control laws.
12.3 Anti-Corruption
Both parties agree to comply with EventNook's Anti-Corruption Policy and all applicable anti-bribery and anti-corruption laws.
13. General Provisions
13.1 Governing Law
This Agreement is governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any disputes arising from this Agreement shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.
13.3 Entire Agreement
This Agreement, together with our Privacy Policy, Terms of Service, and any applicable subscription order, constitutes the entire agreement between you and EventNook regarding the Services.
13.4 Amendments
EventNook may modify this Agreement at any time by posting the revised version on our website. Material changes will be communicated to active subscribers via email. Your continued use of the Services after changes take effect constitutes acceptance of the modified Agreement.
13.5 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.6 Waiver
No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.
13.7 Assignment
You may not assign or transfer this Agreement without EventNook's prior written consent. EventNook may assign this Agreement to any successor or affiliate without restriction.
13.8 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
